Terms of Service

Welcome to Mise! These Terms of Service ("Terms") govern your access to and use of the Mise mobile application and related services (collectively, the "Service") provided by Mise ("we," "our," or "us").

By downloading, installing, or using Mise, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Acceptance of Terms

By accessing or using our Service, you confirm that you are at least 13 years old (or the minimum age required in your jurisdiction) and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

Mise is a recipe discovery and meal planning application that allows you to:

• Discover recipes through a swipe-based interface
• Create and manage weekly meal plans
• Generate automatic grocery lists from your meal plans
• Access step-by-step cooking instructions
• Create and store your own recipes
• Set dietary preferences and filters

3. Account Registration

To access certain features of the Service, you may need to create an account. When you create an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your account credentials secure and confidential
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized access to your account

We reserve the right to suspend or terminate your account if any information provided is inaccurate, misleading, or violates these Terms.

4. Subscriptions and Payments

4.1 Subscription Plans

Mise offers subscription plans that provide access to premium features. Subscription options and pricing are displayed in the app and are subject to change. Current plans include:

• Monthly: $6.99 per month
• Annual: $59.99 per year (approximately 28% savings)

4.2 Free Trial

We may offer a free trial period for new subscribers. At the end of the free trial, your subscription will automatically convert to a paid subscription unless you cancel before the trial ends.

4.3 Billing

Subscriptions are billed in advance on a recurring basis (monthly or annually, depending on your plan). Payment will be charged to your Apple ID account at confirmation of purchase.

4.4 Cancellation

You may cancel your subscription at any time through your Apple ID account settings. Cancellation will take effect at the end of the current billing period. You will continue to have access to premium features until your subscription expires.

4.5 Refunds

Refund requests are handled by Apple in accordance with their refund policies. We do not directly process refunds for purchases made through the App Store.

5. User Content

5.1 Your Content

You may create, upload, or input content into the Service, including recipes, photos, and meal plans ("User Content"). You retain ownership of your User Content, but you grant us a worldwide, non-exclusive, royalty-free license to use, store, display, and process your User Content solely for the purpose of providing and improving the Service.

5.2 Content Guidelines

You agree not to upload, post, or transmit any content that:

• Violates any applicable law or regulation
• Infringes on intellectual property rights of others
• Contains malware, viruses, or harmful code
• Is false, misleading, or fraudulent
• Is defamatory, obscene, or otherwise objectionable
• Harasses, threatens, or intimidates others

5.3 Content Removal

We reserve the right to remove any User Content that violates these Terms or that we determine, in our sole discretion, is harmful or inappropriate.

6. Intellectual Property

The Service, including its design, features, content, and code (excluding User Content), is owned by Mise and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

The recipes provided in the Service are curated for your use within the app. You may use these recipes for personal, non-commercial purposes only.

7. Dietary and Health Disclaimer

If you have food allergies, dietary restrictions, or medical conditions:

• Always verify ingredients before preparing or consuming any recipe
• Consult with a healthcare professional or registered dietitian for personalized advice
• Read all food labels carefully, as formulations may change
• Be aware that cross-contamination may occur during food preparation

We are not responsible for any adverse reactions, health issues, or other consequences resulting from your use of recipes or dietary information provided through the Service.

8. Prohibited Uses

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the Service or servers
• Use automated means (bots, scrapers, etc.) to access the Service
• Reverse engineer, decompile, or disassemble any part of the Service
• Circumvent any access controls or usage limits
• Resell, sublicense, or commercially exploit the Service without authorization
• Impersonate any person or entity

9. Third-Party Services

The Service may contain links to or integrate with third-party services, including authentication providers (Apple, Google) and payment processors. These third-party services are governed by their own terms and privacy policies. We are not responsible for the content, policies, or practices of any third-party services.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free
• The results obtained from the Service will be accurate or reliable
• Any errors in the Service will be corrected
• The Service will meet your specific requirements

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MISE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO US (IF ANY) IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

12. Indemnification

You agree to indemnify, defend, and hold harmless Mise and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your User Content

13. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease.

You may terminate your account at any time by contacting us at support@themiseapp.com. Termination of your account does not entitle you to a refund of any fees paid.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms in the app or by other means. Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in California.

16. Dispute Resolution

Before filing a claim against Mise, you agree to try to resolve the dispute informally by contacting us at legal@themiseapp.com. We will try to resolve the dispute informally within 60 days.

17. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Mise regarding the Service and supersede all prior agreements and understandings.
